Prior Guaranty definition

Prior Guaranty has the meaning provided therefor in the Recitals hereof.
Prior Guaranty. As such term is defined in the Recitals to this Agreement.
Prior Guaranty shall have the meaning assigned to it on the first page of the Guaranty.

  • All references to the Prior Guaranty in the Receivables Purchase Agreement and any other Transaction Document or any other agreement, instrument or document executed or delivered in connection herewith or therewith shall be deemed to refer to this Guaranty, as the same may be amended, restated, supplemented or otherwise modified from time to time.

  • The parties hereto agree and acknowledge that any and all rights, remedies and payment provisions under the Prior Guaranty shall continue and survive the execution and delivery of this Guaranty.

  • This Guaranty is not intended to constitute, and does not constitute, an interruption, suspension of continuity, discharge of prior duties, termination, novation or satisfaction of the obligations or liabilities represented by the Prior Guaranty.

  • This Guaranty is entitled to all of the rights and benefits originally pertaining to the Prior Guaranty and such rights as such rights and benefits may have been amended as provided in the Credit Agreement.

  • This Guaranty Agreement supersedes and replaces the Prior Guaranty Agreement.

  • This Guaranty renews and continues the Prior Guaranty without any novation, discharge, release or satisfaction of the underlying obligations, indebtedness, or any guaranty therefor, all of which obligations, indebtedness and guaranty remain outstanding hereunder, under the Credit Agreement and under the other Loan Documents.

  • This Guaranty is issued in substitution for (and not in discharge of) the obligations evidenced by the Prior Guaranty.
