Prior Bank Commitments definition
Prior Bank Commitments means (i) the Borrower's committed credit facility evidenced by that certain Credit Agreement dated as of February 24, 2000 by and among the Borrower, the several financial institutions from time to time party thereto, and Bank of America, as Agent, as amended and modified prior to the Closing Date, and (ii) the Borrower's revolving credit facility evidenced by that certain Letter Loan Agreement dated as of January 26, 2001 by and among the Borrower and Bank of America, as amended and modified prior to the Closing Date. "Pro Forma Basis" means, for purposes of calculating (utilizing the principles set forth in the second paragraph of Section 1.
