The parties hereto acknowledge that Landlord has leased the entirety of the Building and the Land from the Prime Tenant pursuant to the Sublease and that the Prime Tenant has leased the Building and the Land from the Prime Landlord pursuant to the Master Lease.

Such entry is to be accomplished in a reasonable manner which avoids interference with the conduct by the Prime Tenant of its operations.
In such case, Subtenant shall have available to it all of the defenses available to Prime Tenant under the Prime Lease.
The provisions of this Agreement contain the sole and exclusive method, means and procedure to resolve, as between such Prime Tenant and Too, Inc., any and all disputes or disagreements, including whether any particular matter constitutes, or with the passage of time would constitute, a default.
