Prime Services means Goldman Sachs’ prime services business, which provides prime brokerage, administrative and other services to clients.

• The scope of any such audit will be jointly agreed to by Client and Coinbase in advance of any audit, provided that neither party shall be unreasonable with respect to the scope of such audit, and shall not include items other than those relevant to the Prime Services Coinbase provides to Client.

• Any changes to the level of Service pursuant to this SLA provided during the Term (including renewals) of the Prime Services Agreement will be requested and documented.

• The provisions herein contained are in addition to and not in derogation of the provisions contained in Prime Services Agreement.

• ESTABLISHMENT intends to hire CFZ on a cost-plus basis whereby CFZ shall perform or cause to be performed the Work for the Cost of Work (hereinafter defined) plus the Prime Services Fee (hereinafter defined) and as described in the Construction Documents, all according to the contractual specifications and plans as agreed upon herein, and as disclosed to CFZ in the scope manual (the “Scope Manual”) provided by ESTABLISHMENT, and attached hereto as Schedule Eight.

• SLA performance reports in the Standard format as per industry practice by the Fifteenth of every calendar month during the entire Term (including renewal, if any, thereof) of the Prime Services Agreement.

• The methodology and measures to be used for management of the services including performance, tracking, monitoring and reporting of Services and System performance on a regular basis during the Term of the Prime Services Agreement including any extensions thereof shall be as set forth in this SLA.
