Such indemnity shall remain in full force and effect regardless of any investigation made by or on behalf of such Redemptee or any such directors, officers, employees agents or controlling Person, and shall survive the sale of Primary Units by the Partnership.

Landlord shall vote the percentage interest applicable to the Unit and any and all other Primary Units owned by Landlord in a manner consistent with the immediately preceding sentence.
The Dealer Manager will reallow all or a portion of the Selling Commissions, subject to federal and state securities laws, to the Soliciting Dealer who sold the Primary Units, as described more fully in the Soliciting Dealers Agreement.
