Pricing Request has the meaning set forth in Section 4.1. “Prohibited Person” means (i) any individual or entity that has been determined by competent authority to be the subject of a prohibition in any law, regulation, rule, or executive order administered by OFAC or the U.S. Department of State; (ii) the government, including any political subdivision, agency or instrumentality thereof, of a Sanctioned Country; (iii) any individual or entity that acts on behalf of or is owned or controlled by the government of a Sanctioned Country; (iv) any individual or entity that has been identified on the OFAC Specially Designated Nationals and Blocked Persons List (Appendix A to 31 C.F.R. Ch. V) or any other similar list published by OFAC, including, but not limited to, the Foreign Sanctions Evaders List, the Part 561 List, and the Non SDN Iranian Sanctions List; (v) any individual or entity that has been designated on any similar list or order published by the United States government, including, without limitation, the Denied Persons List, Entity List, or Unverified List of the U.S. Department of Commerce, or the Debarred List or Nonproliferation Sanctions List of the U.S. Department of State; or (vi) any entity beneficially owned or controlled, directly or indirectly, by, any of the individuals or entities listed in subparagraphs (i)-(v) above. “Project Bid” shall have the meaning assigned to such term in Section 4.3(b)(iv). “Prudent Industry Practices” means those practices, methods, specifications and standards of safety, performance, dependability, efficiency and economy generally recognized by electrical utility industry members, including Supplier, in the U.S. as good and proper, and such other practices, methods or acts which, in the exercise of reasonable judgment by those reasonably experienced in the industry in light of the facts known at the time a decision is made, would be expected to accomplish the result intended at a reasonable cost and consistent with Applicable Laws, reliability, safety and expedition. Prudent Industry Practices are not intended to be limited to the optimum practices, methods or acts to the exclusion of all others, but rather to be a spectrum of good and proper practices, methods and acts. “Purchase Order” means a purchase order in the form attached hereto as Exhibit A issued for the purchase of Equipment and Services pursuant to and in accordance with the terms and conditions of this Agreement. “Representatives” means, with respect to any Pers...

• If Buyer desires to purchase Equipment and Services from Supplier during the Term, Buyer shall furnish Supplier with written request (a “Pricing Request”) detailing the Equipment and Services it wishes to purchase and requesting pricing therefor from Supplier, including in such Pricing Request such information as may be reasonably necessary for Supplier to determine pricing therefor and any other project-specific requirements, including Buyer’s requested delivery schedule.

• Only one Special Pricing Request will be issued for a particular customer application or Project utilizing a particular quantity of Omron Products at any given time.

• Each Special Pricing Request is specific to a customer application or Project utilizing particular Omron Products.

• A document issued by the Commonwealth to procure Services, e.g., Request for Proposal; Request for Quotation; Supplier Pricing Request; or Invitation for Bid, including all attachments and addenda thereto.

• Architect shall promptly inform Owner if it expects an interpretation to lead to Pricing Request or Construction Change Directive or an impact on the Schedule.

• Each Special Pricing Request shall terminate upon the earlier of (i) one year from the date of registration, (ii) the consumption of the quantity of Omron Products covered by the Special Pricing Registration, or (iii) the completion of the Project.

• REVOCATION OF REGISTRATION; ETC.;: Once issued, any Special Pricing may be revoked by Omron prior to the expiration of its term if Omron (i) has received a certificate from the customer that Distributor’s performance is unsatisfactory, or (ii) has determined that Distributor has purchased Omron Products pursuant to a Special Pricing Program and resold them to any customer other than the customer covered by the Distributor’s Special Pricing Request Number.
