Price Reset definition

Price Reset means where the price of common stock or the conversion price of a convertible security is set after a closing date and subject to adjustment (downward or upward) based on various criteria that can include fundamental performance, a specified event, or the stock price of a corporate issuer at a given point in time after closing.
Price Reset has the meaning set forth in Section 6.

Examples of Price Reset in a sentence

  • No Credit Party shall close an issuance of Dilutive Interests without first (A) giving notice as contemplated in Section 8.22(b) below and (B) executing such documentation as the Majority Holders may require to document the Down-Round Price Reset, including an updated Schedule 1.1(d).

  • For the avoidance of doubt, the Company could be required to both complete a Down-Round Price Reset and the Pre-Emptive Right Offer.

  • For purposes of clarity, whether or not the Company provides an Exercise Price Reset Date Adjustment Notice pursuant to this Section 2(b), the Holder shall receive a number of Warrant Shares and retain the remaining portion of this Warrant based upon the Exercise Price as adjusted pursuant to this Section, regardless of whether the Holder accurately refers to such price or number of Warrants exercised in any Notice of Exercise.

  • As at the date of this joint announcement, it is uncertain whether the Conversion Price Reset mechanism will be triggered before the Closing Date and if triggered, what the reset price will be, although in the event of a “Change of Control” prior to the Conversion Price Reset on 26 June 2022, the new conversion price shall not be below HK$2.90, subject to other adjustments.

  • If, on any Price Reset Evaluation Date, as defined below, the Reset Price, as defined below, is less than the Exercise Price at such time, the Exercise Price shall be decreased to the Reset Price.

  • If, upon receipt of mine cost information from Seller in 2016, Buyer reasonably determines either (i) that the Purchase Price established through the Purchase Price Reset provision in this Section 5.07 is not competitive on a BTU delivered basis with other coal of comparable quality or (ii) that Seller's mining costs have unreasonably increased, then Buyer shall have an option of terminating the 2017 Agreement as of December 31, 2016.

  • The Reset Price will be evaluated on seven dates (each a “Price Reset Evaluation Date”), with the first Price Reset Evaluation Date being the date that is 90 days after the Issuance Date and each subsequent Price Reset Evaluation Date being the date that is 90 days after the preceding Price Reset Evaluation Date; provided, however, for the avoidance of doubt, the seventh and final Price Reset Evaluation Date will be approximately 24 months after the Issuance Date.

  • At the time of the 2016 Purchase Price Reset, Seller shall have the right to reweigh the indexed components in order to more accurately reflect Seller's changed or reasonably anticipated change in cost structure.
