Each of PRFC and the PRFC Related Parties hereby irrevocably appoints and authorizes Bank One as its Managing Agent to take such actions as agent on its behalf and to exercise such powers under this Agreement and the other Program Documents as are delegated to the Managing Agent for PRFC and the PRFC Related Parties by the terms hereof and thereof, together with such powers as are reasonably incidental thereto.
