If the Chairman of the Board of Directors is not present, the Presiding Director shall chair meetings of the Board of Directors.
If at any time the Chairman of the Board shall be an executive officer or former executive officer of the Corporation or for any reason shall not be an independent director, a Presiding Director shall be selected by the independent directors from among the directors who are not executive officers or former executive officers of the Corporation and are otherwise independent.
