Prepaid Coupons definition
Prepaid Coupons means any prepaid coupon or other arrangement with customers, including, without limitation, customers under the At-Work program, whereby the customer has paid to or for the benefit of any Seller in advance for Classes or other services not yet provided to or received by such customer prior to the opening of business on the Closing Date or for goods not yet provided to or received by such customer prior to the opening of business on the Closing Date.

Sellers are responsible for all Prepaid Coupons issued or sold prior to the Closing Date and redeemed after the commencement of business on the Closing Date.
As soon as reasonably practicable after the end of each month after the Closing Date, Buyer shall prepare and deliver to Sellers a statement (the "Prepaid Coupon Statement") setting forth a summary of the amount payable hereunder with respect to such Prepaid Coupons (the "Prepaid Coupon Liabilities"), together with the Prepaid Coupons redeemed during such month.
