This Agreement may not be amended to increase the fees or expenses payable by Investor Class, Institutional Premium Class, or Premier Class except by a vote of a majority of the Board of Trustees of the Trust; provided that all other amendments may be approved by mutual consent of the parties without a vote.
The references in Sections 2.2(b)(ii), 2.2(b)(iv) and 2.2(b)(v) to the "number of Merger Securities" to be issued and to the "Per Share Value" shall be deemed to refer to the respective numbers of each type of Premier securities allocated, on such pro rata basis, under such sections, and to the Per Share Value of the Premier Common Stock, or the values attributed to the Premier Class AA Options and Premier Class BB Options determined under Section 2.2(c)(iii) below, as appropriate.
For providing such services to the Premier Class, and subject to Section 5 below, Dealer shall receive as compensation an aggregate fee at the annual rate of 15 basis points of the average net daily net assets of the Customers invested in the Funds.
Each Premier Class BB Option shall represent the right to purchase one share of Premier's Class A Common Stock at an exercise price of $8.00 at any time through November 30, 1999.
Commencing immediately, such Premier Class BB Option shall be redeemable by Premier at a price of $.05 per option on thirty (30) days written notice, so long as the average closing bid price, as reported by the Nasdaq Stock Market, of the Class A Common Stock exceeds $11.20 per share, for thirty (30) consecutive trading days ending within fifteen (15) days of the notice of redemption.
In order to receive a payment on behalf of the Premier Class for a particular quarter, the sum due to Dealer must amount to at least $100.00.
To the extent the number of shares of Premier Common Stock issuable hereunder exceeds such Maximum Amount, Premier shall deliver, in lieu of such excess, Premier Class AA Options, Premier Class BB Options, cash or promissory notes (having a maturity of not more than three years and bearing interest at the rate of 10.5% per annum), selected by Premier, having a value equivalent to the value of such excess.
With respect to the 10 new Lifecycle Index Funds, the new Bond Index Fund and the Premier Class of both the new and existing Funds, this Agreement shall continue in force until January 31, 2011.
For purposes of this agreement, the Funds shall include Class A, Class B, Class C, Institutional Class, Premier Class and Investment Class Shares of the ▇▇▇▇▇▇▇ Funds and such additional classes as we may from time to time specify by supplement hereto.
