Preferred Value definition
Preferred Value per share of Preferred Stock means the Stated Value of such Share, plus, without duplication, all accrued and unpaid dividends on such share to and including the applicable date of Warrant exercise.
Preferred Value equals, at the time of determination, the sum of (x) with respect to the Company's Series A Preferred Stock, the Series A Liquidation Amount and (y) with respect to any other series of the Company's preferred stock, the amount to be paid by the Company to the holders of such series of preferred stock upon a liquidation of the Company or similar event in accordance with the terms of the Restated Charter.
Preferred Value means an amount equal to the product of $25 and the number of Series A Preferred Membership Units outstanding.

If the aggregate Preferred Value of the Preferred Stock delivered in payment of the aggregate Exercise Price exceeds (because of fractional shares) the aggregate Exercise Price for the number of Warrants being exercised; then (subject to Section 1(d)) the Company will promptly pay to the holder of the Warrants in cash such excess amount; provided that such excess amount shall in no event be more than the Preferred Value of one share of Preferred Stock.

Preferred Value means, as of any date, with respect to a share of Senior Preferred Stock, Series N Senior Preferred Stock, Series E Senior Preferred Stock or Series I Senior Preferred Stock, respectively, the product obtained by multiplying the sum of the Liquidation Value and the Maximum Dividend by a fraction, the numerator of which is one and the denominator of which is one minus the percentage (expressed as a decimal) of outstanding Preferred Stock converted into limited partnership interests of PG ITR Holdco, L.P. pursuant to the Agreement and Plan of Merger, dated as of [—], 2013, between Prime Holdings and PG ITR Holdings, Inc.
Preferred Value means the average of the daily market prices for ten consecutive trading days immediately preceding the date of receipt by the Special Limited Partner of a Notice of Exercise of Exchange Right. The market price for any such trading day shall be: (i) if the Series A Preferred Shares or Other Preferred Shares are listed or admitted to trading on any securities exchange or the NASDAQ National Market System, the closing price, regular way, on such day, or if no such sale takes place on such day, the average of the closing bid and asked prices on such day, in either case as reported in the principal consolidated transaction reporting system, (ii) if the Series A Preferred Shares or Other Preferred Shares are not listed or admitted to trading on any securities exchange or the NASDAQ National Market System, the last reported sale price on such day or, if no sale takes place on such day, the average of the closing bid and asked prices on such day, as reported by a reliable quotation source designated by the Special Limited Partner, or (iii) if the Series A Preferred Shares or Other Preferred Shares are not listed or admitted to trading on any securities exchange or the NASDAQ National Market System and no such last reported sale price or closing bid and asked prices are available, the average of the reported high bid and low asked prices on such day, as reported by a reliable quotation source designated by the Special Limited Partner, or if there shall be no bid and asked prices on such day, average of the high bid and low asked prices, as so reported on the most recent day (not more than ten days prior to the date in question) for which prices have been so reported; PROVIDED, that if there are no bid and asked prices reported during the ten days prior to the date in question, the Preferred Value of the Series A Preferred Shares or Other Preferred Shares shall be determined by the Special Limited Partner acting in good faith on the basis of such information as it considers, in its reasonable judgment, appropriate. In the event the Preferred Shares Amount includes preferred rights (as defined in the definition of Preferred Shares Amount) that a holder of Series A Preferred Shares or Other Preferred Shares would be entitled to receive, then the Preferred Value of such preferred rights shall be determined by the Special Limited Partner acting in good faith on the basis of such information as it considers, in its reasonable judgment, appropriate.
Preferred Value means, with respect to each Preferred Unit that the holder thereof has not elected to convert into Common Units in accordance with the LLC Agreement at or prior to the Closing, an aggregate amount equal to the sum of (i) such Preferred Unit’s “Preferred Unpaid Yield” (as defined in the LLC Agreement), plus (ii) an amount equal to such unit’s “Preferred Unreturned Capital” (as defined in the LLC Agreement), in each case, as of the Closing.
