PREFERENCE REGISTRATION STATEMENT shall include the Preference Warrant Shelf Registration Statement and the Preference Warrant Stock Shelf Registration Statement.
PREFERENCE REGISTRATION STATEMENT means any appropriate registration statement of the Company filed with the SEC pursuant to the Securities Act which covers any of the Preference Warrants, the Preference Warrant Shares and any other Preference Registrable Securities pursuant to the provisions of this Agreement and all amendments and supplements to any such Registration Statement, including post-effective amendments, in each case including the Prospectus contained therein, all exhibits thereto and all material incorporated by reference therein.
