Proponents means the Debtors and the Committee as proponents of the Plan.
Preferred Proponent(s means the Proponent(s) selected by the Evaluation Team to enter into negotiations for a Contract;
Preferred Bidder means a bidder that is entitled to receive a reciprocal preference under the requirements of this chapter.
Preferred ’ means any of the above securities that are publicly traded on a recognized securities exchange and the securities have a rating of ‘‘A’’ or above. If the securities are not ‘‘Preferred,’’ they are listed as ‘‘Other.’’
Series A or “Series A Equipment Notes” means Equipment Notes issued and designated as “Series A Equipment Notes” under the Indenture, in the original principal amount and maturities as specified in Schedule I to the Indenture under the heading “Series A Equipment Notes” and bearing interest at the Debt Rate for Series A Equipment Notes specified in Schedule I to the Indenture.
first preference means the figure “1” or any mark or word which clearly indicates a first (or only) preference,
Preferred claim means a claim with respect to which the terms of this chapter accord priority of payment from the general assets of the insurer.
Preferred Shareholders means the holders of Preferred Shares.
Preference Stock means any and all series of preference stock, having no par value, of the Corporation.
Series B Preferred means the Corporation's Series B Convertible Preferred Stock, par value $.001 per share.
Preference means an amount, expressed in terms of a percentage, by which a bid or price may exceed the next lower submitted bid or price.
Preferred Stock as applied to the Capital Stock of any corporation, means Capital Stock of any class or classes (however designated) which is preferred as to the payment of dividends, or as to the distribution of assets upon any voluntary or involuntary liquidation or dissolution of such corporation, over shares of Capital Stock of any other class of such corporation.
Preferred Proponent means the Proponent that is invited into negotiations in accordance with the evaluation process set out in this RFP;
Series A Preferred means the Series A preferred stock, $.01 par value per share, of the Company.
Preference Shares means the Preference Shares in the capital of the Company of $0.0001 nominal or par value designated as Preference Shares, and having the rights provided for in these Articles.
Common Securities means the securities representing common undivided beneficial interests in the assets of the Issuer.
Proponent means the legal entity which has signed the Proposal Form, and “proponent” means any proponent responding to the RFP, excluding or including the Proponent, as the context requires.
Registered design in this Act shall mean a design for which a design registration has been granted.
Advocate means a person other than paid staff who has been selected by the individual or by the individual's legal representative to help the individual understand and make choices in matters relating to identification of needs and choices of services, especially when rights are at risk or have been violated.
Series C Preferred means the Corporation's Series C Convertible Preferred Stock, par value $.002 per share.
Preferred Securities has the meaning specified in the first recital of this Indenture.
Series B or “Series B Equipment Notes” means Equipment Notes issued and designated as “Series B Equipment Notes” under the Indenture, in the original principal amount and maturities as specified in Schedule I to the Indenture under the heading “Series B Equipment Notes” and bearing interest at the Debt Rate for Series B Equipment Notes specified in Schedule I to the Indenture.
Series C or "Series C Equipment Notes" means Equipment Notes issued and designated as "Series C" hereunder, in the Principal Amount and maturities and bearing interest as specified in Section 2.02 and Schedule I hereto under the heading "Series C."
Series D Preferred means the Series D Convertible Preferred Stock of the Company, par value $.01 per share.
Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.
Series A Liquidation Preference means a liquidation preference for each Series A Preferred Unit initially equal to $25.00 per unit, which liquidation preference shall be subject to increase by the per Series A Preferred Unit amount of any accumulated and unpaid Series A Distributions (whether or not such distributions shall have been declared).
