These By-Laws shall be subject to the Agreement and Declaration of Trust, as from time to time in effect (the "Declaration of Trust"), of PREDEX, the Delaware statutory trust established by the Declaration of Trust (the "Trust").

Each of the Borrower, PREDEX Fund Advisor and their respective ERISA Affiliates is in compliance in all material respects with the applicable provisions of ERISA and the Code and the regulations and published interpretations thereunder and any similar law, rule or regulation applicable to any Plan.
