Precipitating Event definition

Precipitating Event means (i) a diminution in the Executive's position, duties, authority, title or responsibilities with respect to his or her employment by the Company or (ii) the relocation of the Executive's principal place of performance more than fifty (50) miles from his or her principal place of performance on the Commencement Date.
Precipitating Event means any event or peril, in each case, occurring following the date hereof and prior to January 1, 2018, covered by policies of insurance issued by the Company, including, without limitation, hurricanes, wind storms, tropical cyclones, thunderstorms, hail storms, floods, tornados, earthquakes and fires and (b) “Repurchase Plan” means the capital deployment plan referred to in Section 5.26 of the Company Disclosure Letter.

Examples of Precipitating Event in a sentence

  • Executive's employment with the Company (or a Subsidiary of the Company) shall not be required to terminate as a condition to such acceleration of vesting upon a Precipitating Event.

  • Review initiated by a Precipitating Event will be for the purpose of determining what actually happened, and an employee may be subject to coaching, counseling, or more serious discipline as a result.

  • Review of video or audio data regarding a Precipitating Event will be conducted by ▇▇▇▇▇▇ Transit’s Public Safety personnel, at the request of the Employer and/or the union.

  • Public Safety personnel will not review more of the audio or video than they determine is reasonably necessary to investigate the circumstances surrounding the Precipitating Event, and will only provide to the employee’s management the portion of the audio or video determined to be relevant to the Precipitating Event, plus 60 seconds before and after such material.

  • Review of video or audio data regarding a Precipitating Event wi▇▇ ▇▇ conducted by Pierce Transit’s Public Safety personnel, at the request of the Employer and/or the union.

  • Grantee's employment with the Company (or a subsidiary of the Company) shall not be required to terminate as a condition to such acceleration of vesting upon a Precipitating Event.

  • Also notwithstanding the provisions set forth on Vesting Schedule I or Vesting Schedule II annexed hereto ------------------ ------------------- or Section 3(b) hereof, if a Precipitating Event occurs, all of the Restricted Shares shall thereupon become fully vested and shall not be subject to repurchase.

Related to Precipitating Event

  • Terminating Event means any of the following events:

  • Subsequent Triggering Event means any of the following events or transactions occurring after the date hereof: (i) The acquisition by any person (other than Grantee or any Grantee Subsidiary) of beneficial ownership of 25% or more of the then outstanding Common Stock; or (ii) The occurrence of the Initial Triggering Event described in clause (i) of subsection (b) of this Section 2, except that the percentage referred to in clause (z) of the second sentence thereof shall be 25%.

  • Company Triggering Event shall be deemed to have occurred if: (a) the Company shall have made a Company Board Adverse Recommendation Change; (b) the Company Board or any committee thereof shall have publicly approved, endorsed or recommended any Acquisition Proposal; or (c) the Company shall have entered into any letter of intent or similar document relating to any Acquisition Proposal in violation of the terms of the Agreement.

  • Catastrophic Event means a rare circumstance in which mass casualties and/or significant property damage has occurred or is imminent (e.g. September 11th, hurricanes, earthquakes greater than 6.1 on the Richter scale)

  • Barrier Event means that R (final) is lower than the Barrier.
