If any such tax or taxes shall be assessed or levied against any Bank, any Pre-Funding Lender or any other holder of its Note or Pre-Funding Note, such Bank, Pre-Funding Lender or such other holder, as the case may be, may notify the Borrower and make immediate payment of such tax together with interest or penalties in connection with such tax, and shall thereupon be entitled to and shall receive immediate reimbursement for such tax from the Borrower.
No failure on the part of the Agent, any Bank or any holder of any Note or the Pre-Funding Note to exercise, and no delay in exercising, any right shall operate as a waiver of such right, nor shall any single or partial exercise of any right preclude any other or future exercise of such right or the exercise of any other right.
