Pre-Delivery definition

Pre-Delivery means the process by which an Option may be partially or fully settled prior to Expiry via a separate, offsetting Forward Contract. This Forward Contract is independent of the Option and the features of the original Option are retained until the Expiry Date and Time. A Pre-Delivery must be approved by Cambridge, and may be subject to a number of conditions or restrictions.

Examples of Pre-Delivery in a sentence

  • If a Pre-Delivery Interest Period or an Interest Period would otherwise end on a day which is not a Business Day, the Pre-Delivery Interest Period or Interest Period shall be extended until the next following Business Day unless the next following Business Day falls in the next calendar month or the Interest Period has been selected pursuant to Clause 5.3.2 in which case the Interest Period will be shortened to expire on the preceding Business Day.

  • If a Pre-Delivery Interest Period or an Interest Period commences on the last Business Day in a month or if there is no day in the month in which the Pre-Delivery Interest Period or Interest Period will end which corresponds numerically to the day on which it begins, the Pre-Delivery Interest Period or Interest Period shall end on the last Business Day in that month.

  • Pre-Delivery Interest Periods shall commence, in the case of the first in respect of the first part of Portion 1 and Portion 2 to be drawn down, on the First Drawdown Date, in the case of the first in respect of the first part of Portion 3 to be drawn down on the first Pre-Delivery Interest Payment Date and, in the case of Pre-Delivery Interest Periods other than the first in respect of any Portion or part thereof, on the expiry of the preceding Pre-Delivery Interest Period.

  • The final Pre-Delivery Interest Period in respect of a Portion, the Portions or any part thereof (as the case may be) shall end on the Termination Date and the final Interest Period shall end on the final Repayment Date.

  • However, the Agent shall have the right to adjust the length of any Pre-Delivery Interest Period for a part of a Portion (other than the first part to be drawn down) such that it ends on the same date as any existing Pre-Delivery Interest Period in respect of that Portion and the first Pre-Delivery Interest Period in respect of a Portion such that it ends on the same date as the current Pre-Delivery Interest Period of the other Portions.

  • The Company, the Manager and the Advisor each acknowledge that the Incentive Shares were issued to the Advisor, in part, as consideration for the provision of the Pre-Delivery Services hereunder.

  • For the purposes of Rule 144, the Company acknowledges that the holding period of the Pre-Delivery Shares may be tacked onto the holding period of the Notes and shall, consequently, be deemed to have been issued as of the Closing Date for purposes of Rule 144 and the Company agrees not to take a position contrary to this Section 4(dd).

  • On giving at least thirty (30) days’ prior notice to the Agent, the Borrower may on the last day of a Pre-Delivery Interest Period or an Interest Period prepay (without premium or penalty, subject to Clause 4.8) the whole or any relevant part of the Loan (but if in part in an amount of five million Dollars (USD5,000,000) or the equivalent amount in Euro (as the case may be) or an integral multiple thereof).

  • On giving at least thirty (30) days’ prior notice to the Agent, the Borrower may on the last day of a Pre-Delivery Interest Period or an Interest Period prepay (without premium or penalty, subject to Clause 4.8) the whole or any relevant part of the Loan (but if in part in an amount of five million Dollars (USD5,000,000) or an integral multiple thereof).

  • In addition to the undertakings made by the Sellers (as charterers) under the Charter, the Sellers hereby undertake to the Buyers that they will comply in full and procure compliance (where applicable) with the following undertakings throughout the Pre-Delivery Period.

  • Share Delivery Quantity For any Settlement Date, a number of Shares, as calculated by the Calculation Agent, equal to the Net Share Settlement Amount for such Settlement Date divided by the Settlement Price on the Valuation Date for such Settlement Date. Net Share Settlement Amount: For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Calling Number Delivery means a feature that enables an End User to view the directory number of the calling party on a display unit.

  • Share Delivery Date shall have the meaning set forth in Section 4(c)(ii).

  • Calling Name Delivery Service (CNDS) means a service that enables a terminating End User to identify the calling party by a displayed name before a call is answered. The calling party’s name is retrieved from a Calling Name Database and delivered to the End User’s premise between the first and second ring for display on compatible End User premises equipment.

  • Notice Delivery Period means the period from and including the Trade Date to and including the date that is fourteen calendar days after the Extension Date.
