Except as set forth in the PRB Filings or in a list ---------- furnished by PRB to GBB (the "PRB Litigation List"), there is no private or governmental suit, claim, action or proceeding pending, nor to PRB's knowledge threatened, against PRB or Golden or against any of their respective directors, officers or employees relating to the performance of their duties in such capacities or against or affecting any properties of PRB or Golden which, if adversely determined, would have a Material Adverse Effect.
