  • As of the Closing Date, the property (the “PRANG Property”) utilized by the Puerto Rico Air National Guard (“PRANG”) pursuant to that certain Joint Use Agreement by and between the Authority and PRANG, dated as of December 11, 2002, as amended (the “PRANG Contract”), is excluded from the LMM Airport Facility.

  • Such offer from the Lessee to the Authority shall include the amount of any compensation that the Lessee is prepared to pay to the Authority in respect of the inclusion of the PRANG Property and any other material terms and conditions related thereto.
