Purchaser and the Acquired Companies shall cooperate and cause their subsidiaries to cooperate with Prandium and Seller in submitting claims with respect to Seller's Pre-Closing Liabilities ("Seller's Pre-Closing Claims") (or pursuing Seller's Pre-Closing Claims previously made).
It is further understood and agreed that any deductibles and/or self-insured retentions applicable to Seller's Pre-Closing Liabilities under Seller's Insurance Policies will be the sole responsibility of Seller and Prandium.

No material work stoppage against the Acquired Companies is actually pending or, to the knowledge of Seller and Prandium, threatened.
No amendment to any provision of ---------------------- this Agreement shall in any event be effective unless the same shall be in writing and signed by Debtor, Prandium, and Foothill; and no waiver of any provision of this Agreement, or consent to any departure by Debtor or Prandium therefrom, shall in any event be effective unless the same shall be in writing and signed by Foothill.
Prandium and its Subsidiaries immediately shall notify Agent whenever such separate insurance is taken out, specifying the insurer thereunder and full particulars as to the policies evidencing the same, and copies of such policies promptly shall be provided to Agent.
This Agreement shall be binding upon, inure to --------------- the benefit of and be enforceable by Debtor, Prandium, and Foothill and their respective successors and assigns.
In addition to the financial statements referred to above, each of FRI-MRD and Borrower agrees to deliver, as soon as available, but in any event within 30 days after the end of each month during each of Prandium's fiscal years, the "key data report" covering Prandium, KKR, HGI, and Borrower for the month then ended and the year to date.
If any such excess payment is made to Foothill, Foothill shall promptly remit such excess to Prandium and until so remitted shall hold such excess payment for the benefit of Prandium.
