PPX Acquisition definition
PPX Acquisition means (a) the merger of Pacific Energy Partners, L.P. (“PPX”) with and into the Borrower pursuant to that certain Agreement and Plan of Merger dated as of June 11, 2006 by and among PPX and certain of its Affiliates and the Borrower and certain of its Affiliates, (b) the purchase by the Borrower from LB Pacific, LP of certain equity interests in PPX and in certain Affiliates of PPX, pursuant to that certain Purchase Agreement dated as of June 11, 2006 by and among LB Pacific, LP and the Borrower, and (c) the acquisition of other property and interests, in each case pursuant to the foregoing agreements and related documents.
