The exercise price under each Issuer Replacement Warrant will be, post-Consolidation, equal to the exercise price at the Time of Closing under the particular Isracann Warrant and (if applicable) Isracann PP Warrant that was cancelled in consideration for such Issuer Replacement Warrant and the expiration date for each Issuer Replacement Warrant will be the same date as the expiration date of such Isracann Warrant and (if applicable) Isracann PP Warrant.
Each PP Unit is comprised of one common share in the capital of the Corporation (a "PP Share") and one transferable common share purchase warrant of the Corporation (a "PP Warrant"), with each PP Warrant entitling the holder thereof to purchase one common share in the capital of the Corporation (a "PP Warrant Share") at any time on or before 5:00 p.m. (Vancouver time) on the date which is 24 months after the Private Placement Closing Date (as defined herein) at a price of $3.00 per PP Warrant Share.
In consideration for the disposition by such holder of each right to acquire one Isracann Share under an Isracann Warrant or (if applicable) an Isracann PP Warrant, the holder shall receive one Issuer Replacement Warrant.
The Agents acknowledge that certificates representing the PP Shares, PP Warrants, PP Warrant Shares and all Agents' Securities issued in connection with the Private Placement shall bear the four month legend under Applicable Securities Laws.
