Power Unavailability definition

Power Unavailability means the simultaneous unavailability of [**] power feeds from the utility power feed to the cabinet delivered by any means, including, without limitation, power sockets, power whips, extension cords or portable power systems; provided that, Power Unavailability does not include unavailability caused by Critical Maintenance (defined below) arising from an event of Force Majeure or unavailability resulting from: (i) any [**] or [**], (ii) [**], (iii) any [**] or [**] of [**], (iv) any [**] or [**] by [**], or (v) any [**] by [**] to [**] by applicable [**] or [**]. For example, and without limitation, if [**] causes an [**], or if [**] does not hook up [**], any resulting [**] is [**] covered by [**]. Moreover, because power distribution units (“PDU”) are purchased by Licensee, Licensor shall not be responsible for the power delivery associated with Licensee PDU failures.
Power Unavailability means the number of minutes that AC power is not available at the Customer’s Equipment to the primary outlet or redundant outlet at the same time. Availability shall be measured and calculated using the Supplier’s standard processes, tools and methodologies in effect from time to time (as determined by the Supplier);
Power Unavailability consists of the number of minutes that AC power was not available at the Customer’s Premium Data Center Service cabinet to the primary outlet or redundant outlet at the same time. Outages will be counted as Power Unavailability only if Customer opens a trouble ticket requesting an SLA investigation with Ace Data Center technical support within [**] days of the outage. Power Unavailability will not include Scheduled Maintenance (as defined in this Section 2) or unavailability resulting from (a) any Customer circuits or equipment, (b) Customer’s applications or equipment, or (c) acts or omissions of Customer, or any use or user of the service authorized by Customer. Examples of Power Unavailability in a sentence

  • To determine compliance with this provision, "Power Unavailability" shall be calculated as the total number of minutes, for each calendar month, that power was unavailable to the Space.

  • Licensee shall provide written notice to Licensor of any incident of Power Unavailability or time spent outside the Critical Temperature Range, if applicable, that Licensee intends to accrue against the aggregate period identified in paragraph 3(d) no later than [**] days following the incident.

  • Notwithstanding, Licensee shall have an exclusive remedy of early Termination with no penalty if: (i) the aggregate period of Power Unavailability (as defined in the SLA) exceeds either [**] hours during any [**] or [**] hours during any [**] day rolling period.

  • Customer shall have the right to terminate the MSA and all related Order Forms with no further obligations should the amount of Power Unavailability: (i) total the hour equivalent of fourteen (14) days during any twelve-month period OR (ii) exist for seven (7) consecutive days during any period, for any reason in either case except a Force Majeure event as defined in Section 8.12 of the CAVALRY Managed Services Agreement.

  • If the Power Availability Guarantee is not met during any given calendar month, as Licensee’s sole and exclusive remedy for such failure, Licensee will be issued a credit of $[**] for each cumulative [**] period that Power Unavailability exceeds the guaranteed amount, not to exceed $[**] per month.

  • This credit will be limited to the services which have been affected by the Power Unavailability and will not exceed the total Monthly Charge due for the service in the month where the Power Availability SLA has not been met.

  • For purposes of this termination provision, only [**] of Power Unavailability to [**] in use may accrue against the above-referenced aggregate period of Power Unavailability.

  • Power Unavailability will be assessed by T3 for purposes of this provision only if Customer Opens a Service Ticket with T3 Customer Care within thirty (30) calendar days of the power outage.

  • The sole remedy for Power Unavailability will be credit as provided in Schedule 1 attached hereto.

  • For each cumulative day of Power Unavailability, or fraction thereof, at Customer’s request, Customer’s account shall be credited the pro-rated charges for one day of the Monthly Charge for Power with respect to which a Power Availability SLA has not been met.

Related to Power Unavailability

  • Unavailability (or “Unavailable”) the Flexibility Services, in accordance with the Service Requirements, are not Available to be delivered to the Company; “Utilisation Instruction” an instruction by the Company to the Provider to deliver Flexibility Services;

  • Benchmark Unavailability Period means, the period (if any) (a) beginning at the time that a Benchmark Replacement Date has occurred if, at such time, no Benchmark Replacement has replaced the then-current Benchmark for all purposes hereunder and under any Loan Document in accordance with Section 3.03 and (b) ending at the time that a Benchmark Replacement has replaced the then-current Benchmark for all purposes hereunder and under any Loan Document in accordance with Section 3.03.

  • Suppressed Availability means, at any time, an amount, if positive, by which the Borrowing Base at such time exceeds the Aggregate Commitments at such time; provided that Suppressed Availability at any time shall not exceed 2.5% of the Aggregate Commitments at such time.

  • Ramping Capability means the sustained rate of change of generator output, in megawatts per minute.

  • General Availability means the date a version of Software was first made available to be licensed by Sandvine customers.
