Power Projects definition

Power Projects means: the Keenleyside Powerplant Project, the Xxxxxx Expansion, the Brilliant Expansion, power generation, transmission or distribution projects related to the Xxxxxx Expansion or the Brilliant Expansion, and if CPC and the Trust resolve not to commence any of the foregoing because such Power Project would not meet conditions precedent as would be set by a reasonable commercial lender for the financing of such Power Project, including conditions in respect of debt servicing, return on equity, permits, approvals, construction agreements, contracts for the sale or distribution of electricity and similar matters, such other power generation, transmission or distribution projects in the Region as CPC and the Trust may, from time to time, agree upon after negotiating in good faith, and if there are any disputes with respect to the choice of such projects, either party may by notice to the other party refer the matter to mediation with the assistance of the Vancouver Centre for Commercial Disputes and the parties will continue to negotiate in good faith with the assistance of the mediator(s) until such time as the mediator(s) advises that there is no reasonable possibility of the parties reaching a negotiated resolution;
Power Projects. Each Party has the right of first refusal to pursue through this Joint Venture, all build, own and operate or build, own, operate and transfer power projects identified by the other Party or its affiliates outside of the United States except those in which (i) the Joint Venture could not acquire a controlling interest in the equity, (ii) bid constraints would effectively prevent Xxxxxx'x or CE's participation, or (iii) participant, contractor or partner constraints would effectively prevent Xxxxxx'x or CE's participation. The right of first refusal covers all international power project development and bid opportunities, but does not cover (i) any projects in the construction or operating stages or (ii) direct or indirect acquisitions of development stage projects (subject to the following sentence), or (iii) acquisitions of entities owning projects in the construction or operating stages which also own development stage projects. Notwithstanding clause (ii) of the foregoing sentence, if the acquisition is an acquisition solely (i) of a project or projects in the development stage or (ii) of an entity or entities owning a project or projects in the development stage; and in either case (i) or (ii) the aggregate costs incurred on such development stage project or projects does not exceed $250,000 at the date of the acquisition, then the right of first refusal shall cover any such acquisition. Each Party shall notify the other Party of any power project subject to the right of refusal as soon as such Party believes that such project may be subject to the right of refusal. If the Joint Venture does not promptly elect to pursue the identified power project, either Party may pursue the power project separately.
Power Projects means `Exempt Projects' and `Domestic Power Projects', as those terms are defined in the United States Securities and Exchange Commission Release No. 35-26364;70-8649, issued August 29, 1995 in National Fuel Gas Company, et al."

Power Projects. Subject to the conditions set forth in this Agreement, the Parties mutually agreed to pursue the joint development of the power projects listed on Exhibit A hereto (the "Initial Projects") and such other projects as shall be mutually agreed (the Initial Projects and any additional projects are hereinafter referred to as the "Projects"). For purposes of this Agreement, a "Project" consists of a power purchase agreement and certain permits, licenses, contracts and proprietary information such as meteorological data or other data relating to a wind, hydro or solar power project and all other rights relating thereto.
