Examples of Potential Relevant Change in a sentence

  • If the Independent Expert determines that there is a Potential Relevant Change, and that such Potential Relevant Change is likely to lead to such Relevant Change Effect, but that no amendment to this Framework Agreement can be made which would avoid such Relevant Change Effect, the Parties shall require the Independent Expert to notify the Parties of that determination.

  • If the Potential Relevant Change does lead to a Relevant Change Effect, then the provisions of this Clause 10 shall apply in respect of such Relevant Change Effect.

  • In the event that within twenty (20) Working Days after the service of the Potential Relevant Change Notice, the persons to whom the matter or matters in dispute were referred pursuant to Clause 10.8 do not agree the matters in dispute that were referred to them, either Party may refer the matter or matters in dispute to the Independent Expert.

  • In the event that the Parties do not so agree through negotiation pursuant to Clause 10.7 within fifteen (15) Working Days of the relevant Potential Relevant Change Notice, the matter or matters in dispute shall be referred by each of the Parties to a person of director level (or equivalent) within each of the Parties who shall meet as soon as reasonably practicable in order to try to agree such matter or matters in dispute.

  • For the avoidance of doubt, any amendment that may be required to the Framework Agreement as a result of a Relevant Change or a Potential Relevant Change shall not be subject to the change control arrangements specified in Schedule 14.

  • If this Clause 11.9.4 applies in the case of a Potential Relevant Change, the Parties may agree that either Party may terminate this Framework Agreement or Customer Contracts on the date on which the Potential Relevant Change becomes a Relevant Change.

  • Parties' right to terminate where no amendments are required: This Clause 11.9.4 applies if the Independent Expert determines: there is a Relevant Change or there is a Potential Relevant Change; and there are no amendments to the Framework Agreement or Customer Contracts that can be made to avoid the impact of the Relevant Change Effect.

  • Independent Expert: Clauses 17.1 to 17.6 above shall be without prejudice to the right of the Parties to refer any Dispute relating to a Relevant Change or a Relevant Change Effect to an Independent Expert in accordance with Clause 11.6 or a Potential Relevant Change or a Relevant Change Effect in accordance with Clause 11.9.
