Trade A&P expenses correspond to all expenses (net of all related rebates/discounts) paid for promoting products to retailers, wholesalers, bars, etc., such as Branded POS Material, in store advertising, trade public relations events, sponsorship of trade events, wine lists, markets tests, trade samples, tastings, trade trainings, advertising in trade publications.
POS is not in violation of any order of any court, governmental authority or arbitration board or tribunal, or any law, ordinance, governmental rule or regulation to which it is subject, except where the violation would not have a POS Material Adverse Effect.
For purposes of this Agreement, a POS Material Adverse Effect shall mean any event, occurrence, act or omission that would have a material adverse effect on the business, results of operations or financial condition, assets or liabilities of POS.
POS has all licenses, permits and other authorizations (the "Permits") and has taken all actions required by applicable law or governmental regulations in connection with its business as now conducted, except where the failure to obtain any such item or to take any such action would not have a POS Material Adverse Effect.
The Stockist will comply with all instructions and recommendations of CANNABELLA regarding the maintenance, use (including the period of time a certain POS Material is to be displayed), location, and removal of POS Materials.
POS is duly licensed or qualified to do business as a foreign corporation and is in good standing under the laws of any other state of the United States in which the character of the properties owned or leased by it therein or in which the transaction of its business makes such qualification necessary, except where the failure to be so qualified or in good standing would not have a "POS Material Adverse Effect" (hereinafter defined).

POS has conducted and is conducting its business in compliance with the requirements, standards, criteria and conditions set forth in the Permits and other applicable orders, statutes, approvals, judgments, decrees, plans, variances, rules and regulations of federal, state, county, municipal authorities, agencies or boards (collectively, "Laws") and is not in violation of any of the foregoing except where such failure would not have a POS Material Adverse Effect.
Neither the Shareholder, nor any of the officers, employees or agents of POS has withheld from ENVOY or its representatives disclosure of any event, condition, or fact that such officer, shareholder, employee or agent knows could cause or constitute a POS Material Adverse Effect.
