  • Write offs on Branded POS Material must be excluded from the calculation of the Trade A&P and, consequently the DBC.

  • Neither the Shareholder, nor any of the officers, employees or agents of POS has withheld from ENVOY or its representatives disclosure of any event, condition, or fact that such officer, shareholder, employee or agent knows could cause or constitute a POS Material Adverse Effect.

Related to POS Material

  • Sales material means a sales illustration and any other written, printed or electronically presented information created, or completed or provided by the company or producer and used in the presentation to the policy or contract owner related to the policy or contract purchased.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Biological Material means any material containing genetic information and capable of reproducing itself or being reproduced in a biological system;

  • Licensed Material means radioactive material received, possessed, used, transferred or disposed of under a general or specific license issued by the Agency.

  • Fill material means material deposited in accordance with these specifications from any of the classes specified in order to build up an earthworks construction to formation level as shown on the Drawings or as ordered by the Project Manager. The Contractor shall obtain the fill material from a source approved by the Project Manager.
