All payments of the Third Point Share Payment to Third Point under this Agreement shall be made without any reduction, deduction or withholding for or on account of any tax (including without limitation, any value added tax), unless required by Law.
For the avoidance of doubt, Third Point will refund the unearned portion of the Third Point Share Payment if a withdrawal is made prior to the end of the month.
Nothing herein shall affect the ability of Third Point to cause the Third Point Share Payment to be paid to Third Point out of the Assets as provided in this Agreement.
The valuation of hard-to-value securities may give rise to a conflict of interest since the Performance Allocation allocated to TP GP, an Affiliate of Third Point, at the Joint Venture and the Third Point Share Payment paid to Third Point, will be calculated, in part, based on the values assigned to such securities by Third Point.
All applicable Third Point Share Payments accrue from the beginning of each month (or, with respect to any intra-month capital contribution by a Participant, from the date of such capital contribution) with respect to each Participant (other than TP GP) based on the Capital Account balance or contributed amount, as applicable, as of such date.
The Owners shall pay a connection fee of $1,000.00 for each Owner for a total of $100,000.00 (the “Connection Fee”), which will be paid as part of the ▇▇▇▇▇ Point Share (defined below) in accordance with Sections E.5 through E.7.
To the fullest extent allowed under USDA rules and regulations governing the USDA Funds, MPCA shall be allowed to include in the ▇▇▇▇▇ Point Share (defined below) its out-of-pocket expenses, including engineering and legal costs, incurred in connection with the Project as of October 13, 2018, or such other date as is approved by the USDA (the “Allowed Expenses”).
Each Owner shall be solely and separately liable for its quarterly payment of the ▇▇▇▇▇ Point Share, and the Town’s remedies in the event of nonpayment shall be limited to the same remedies it has with respect to any other landowner served by the Town Water Supply for nonpayment of betterments, assessments, and other fees for use of the Town Water Supply.
The Town shall provide a written certification to MPCA attesting to the true and accurate final Project Cost and the true and accurate ▇▇▇▇▇ Point Share, and shall provide written updates of this certification whenever a change in circumstances changes the facts on which the certification was based, such as whenever a home or lot not served by the MPCA Water Distribution System receives water as a result of the ▇▇▇▇▇▇▇ Road Water Main Extension Project.
Any former shareholders of Powhatan Point who have not exchanged their Old Certificates pursuant to this Article II may look only to the Surviving Company for payment of the Merger Consideration, cash in lieu of any fractional United Bancorp Shares and any unpaid dividends and distributions on the United Bancorp Shares deliverable in respect of each former Powhatan Point Share such shareholder holds as determined pursuant to this Agreement, in each case, without any interest thereon.
