Point Count means a total value of cards in a hand as determined in accordance with rule 3.3;

Point Count means a single digit number from zero (0) to nine (9), inclusive, that is determined by totaling the face value of the cards in the hand. Upon the due commencement of any judicial proceeding or arbitration pursuant to Section 14(a) of this Agreement, Independent Counsel shall be discharged and relieved of any further responsibility in such capacity (subject to the applicable standards of professional conduct then prevailing).
