Disciplinary Actions University of Tennessee Human Resources Policy 525 describe the conditions and methods by which disciplinary actions may be taken against a University employee for unsatisfactory work performance or work-related behavior, including gross misconduct.
Merger Effective Time means “Effective Time,” as that term is defined in the Merger Agreement.
Effective Time has the meaning set forth in Section 2.2.
First Effective Time has the meaning specified in Section 2.02.
Merger Closing means “Closing,” as that term is defined in the Merger Agreement.
Effective Time of the Merger means the time as of which the Merger becomes effective, which shall occur on the Funding and Consummation Date.
Second Effective Time has the meaning specified in Section 2.02.
Merger Sub 2 shall have the meaning given in the Recitals hereto.
Merger Sub 1 has the meaning set forth in the Preamble.
First Merger shall have the meaning given in the Recitals hereto.

Merger Effective Date means the date on which the Merger is consummated.
MergerCo shall have the meaning set forth in the introductory paragraph to this Agreement.
Merger Sub Board means the board of directors of Merger Sub.

Initial Merger Consideration has the meaning set forth in Section 2.2(a).
Merger Sub has the meaning set forth in the Preamble.
Merger Sub I has the meaning set forth in the Preamble.
Merger Agreement has the meaning set forth in the Recitals.
Merger Sub II has the meaning set forth in the Preamble.
Bank Merger Agreement has the meaning set forth in Section 6.10.
MergerSub has the meaning set forth in the Preamble.
Closing Merger Consideration has the meaning set forth in Section 2.02
Merger Subsidiary has the meaning set forth in the preamble to this Agreement.
Distribution Effective Time means 12:01 a.m., Eastern time, on the Distribution Date.
Total Merger Consideration has the meaning set forth in Section 2.2(a).
Final Merger Consideration has the meaning set forth in Section 2.10(b)(ii)(D).
