No Base Rent or Additional Rent shall be payable for the Pocket Space until the earlier of July 1, 1997 or the date on which Tenant first occupies all or any portion of the Pocket Space.
Tenant will be allowed to pocket up to 4,000 rentable square feet of the Additional Space shown on the drawing attached hereto as Exhibit B and incorporated herein by this reference (the "Pocket Space") through December 31, 1999, upon written notice to Landlord.
Tenant shall have the right to "pocket" until July 1, 1997 that portion of the Premises consisting of approximately 2,439 square feet and depicted on Exhibit B as the Pocket Space ("Pocket Space").
Tenant shall retain the services of a qualified architect or office planner approved by Landlord, to prepare the necessary drawings for Basic Plans and supply the information necessary to complete the Working Drawings and Engineering Drawings referred to in Section II.B of this Exhibit C for construction of the tenant improvements in Tenant's unimproved area including the Pocket Space.
In connection with such use, only employees whose primary responsibility relates to the items stored in the Pocket Space may occupy the Pocket Space on a regular basis during any given period of time.
The earlier of (i) twelve (12) months following the Commencement Date for Suite 2000; or (ii) upon Tenant’s occupancy of the Pocket Space for business purposes.
The initial Premises constitute 74.96% of the non-retail space in the Sellar Hambach Building and will, when fully occupied (including the Pocket Space), constitute 89.84% of the non-retail space in the Sellar Hambach Building ("Tenant's Percentage of the Building(s)") calculated by dividing the net rentable area of the Premises from time to time, by the area of the non-retail space on floors 1 through 7 of the Sellar Hambach Building (127,992 net rentable square feet).
Tenant may elect to convert the use of Pocket Space to general office use permitted by this Lease by delivering to Landlord written notice of such election (the "Conversion Notice"), and said conversion shall be effective on the date on which Tenant first uses for general office purposes the space being converted with Landlord having paid to or for the benefit of Tenant the Pocket Space Allowance (the "Conversion Effective Date").
Subject to adjustment as herein provided, the Base Rent to be paid hereunder shall equal the sum of (A) the Base Rent for the Pocket Space plus (B) the Base Rent for the portion of the Premises that excludes Pocket Space.
Until such time as Pocket Space is converted to general office space (i.e., for office space regularly occupied by Tenant's office personnel for the conduct of Tenant's business), (i) fifty percent (50%) of the area of such Pocket Space shall be included in the area of the Premises for the purpose of calculating Tenant's Proportionate Share (defined herein), and (ii) such Pocket Space shall not be entitled to the Pocket Space Allowance referred to below.
