No additional consideration shall be paid by PNM to PNMR Development in connection with the assignment and conveyance provided for herein.

The Owner Parties are ▇▇▇▇▇▇ Dodge Energy Services, LLC, PNMR Development and Management Corporation, and Tucson Electric Power Company ("TEP"), each of which shall be jointly and severally liable for the obligations of Owner under this Agreement.

PNMR Services also may use the PNMR Development Office Space for office space for its affiliates and itself, and PNMR Services shall compensate PNMR Development for such use on an allocated cost basis initially equal to $ 0 per month to be paid at the end of each calendar month, subject to either increases or decreases for any adjustments to the allocated costs or use by PNMR Services.
In the event that any service level, cost allocation or similar issue relating to Services provided by either PNMR Services or PNMR Development cannot be resolved in a timely manner by PNMR Development and PNMR Services personnel, resolution of the issue shall be referred to the appropriate PNMR Development and PNMR Services managers.
