PNC Documents definition

PNC Documents means the PNC Credit Agreement and the “Other Documents” as such term is defined in the PNC Credit Agreement and any documents, instruments and agreements entered into in connection with any amendment, supplement, restatement, replacement or refinancing thereof, as amended, modified, supplemented or restated from time to time in accordance with the terms of the PNC Credit Agreement, this Agreement, and the Intercreditor Agreement.
PNC Documents means all documents, instruments and agreements between PNC and Borrower executed in connection with that certain Revolving Credit and Security Agreement dated as of June 1, 1999 between PNC, as lender and as agent for the lenders, and Borrower, as amended from time to time. “Receivables” shall mean and include, as to Borrower, all of Borrower’s accounts, contract rights, instruments (including those evidencing indebtedness owed to Borrower by its Affiliates), documents, chattel paper (including electronic chattel paper), general intangibles relating to accounts, drafts and acceptances, credit card receivables and all other forms of obligations owing to Borrower arising out of or in connection with the sale or lease of Inventory or the rendition of services, all supporting obligations, guarantees and other security therefor, whether secured or unsecured, now existing or hereafter created, and whether or not specifically sold or assigned to Creditor hereunder. “Securities Account” shall have the meaning set forth in the UCC and shall include the securities accounts listed in the Perfection Certificate. “Securities Control Agreement” shall have the meaning set forth in Section 8(e)(i) herein. 5
PNC Documents means (i) the Promissory Note dated May 21, 1999, issued by CEPI to PNC, (ii) the Open-End Mortgage dated as of February 21, 1999, between CEPI and PNC, (iii) the Guaranty and 9 Suretyship Agreement dated as of February 21, 1999 between the Company and PNC, (iv) the PNC Shareholder Guaranty and (v) the other documents (if any) executed and delivered in connection therewith or otherwise referred to therein, in each case as amended, amended and restated, supplemented or otherwise modified from time to time.
