PNC Documents definition

PNC Documents means the PNC Credit Agreement and the “Other Documents” as such term is defined in the PNC Credit Agreement and any documents, instruments and agreements entered into in connection with any amendment, supplement, restatement, replacement or refinancing thereof, as amended, modified, supplemented or restated from time to time in accordance with the terms of the PNC Credit Agreement, this Agreement, and the Intercreditor Agreement.
PNC Documents means all documents, instruments and agreements between PNC and Borrower executed in connection with that certain Revolving Credit and Security Agreement dated as of June 1, 1999 between PNC, as lender and as agent for the lenders, and Borrower, as amended from time to time. “Receivables” shall mean and include, as to Borrower, all of Borrower’s accounts, contract rights, instruments (including those evidencing indebtedness owed to Borrower by its Affiliates), documents, chattel paper (including electronic chattel paper), general intangibles relating to accounts, drafts and acceptances, credit card receivables and all other forms of obligations owing to Borrower arising out of or in connection with the sale or lease of Inventory or the rendition of services, all supporting obligations, guarantees and other security therefor, whether secured or unsecured, now existing or hereafter created, and whether or not specifically sold or assigned to Creditor hereunder. “Securities Account” shall have the meaning set forth in the UCC and shall include the securities accounts listed in the Perfection Certificate. “Securities Control Agreement” shall have the meaning set forth in Section 8(e)(i) herein. 5
PNC Documents shall have the meaning assigned to such term in Section 6.1(c).

Examples of PNC Documents in a sentence

  • Except as provided in the PNC Documents (subject to the terms of the Intercreditor Agreement) and except with respect to the accounts set forth on Schedule 4.15(h) attached hereto, which are maintained for specific purposes identified in Schedule 4.15(h), maintain all of Borrowers’ deposit and operating accounts with Agent.

  • The aforesaid power of attorney can only be exercised by Creditor if all of Borrower’s obligations pursuant to the Senior Debt have been satisfied or any security interest in the Collateral granted under the PNC Documents and any other Senior Lender loan documents has been released and with respect to property subject to a Permitted Encumbrance, the approval of the holder of the Permitted Encumbrance.

  • As of the Closing Date, file search reports have been obtained from each UCC filing office identified with respect to the Borrower, and such search reports reflect no Liens against any of the Collateral other than those permitted under the Security Agreement and the PNC Documents.

  • Notwithstanding the foregoing, except as provided in the PNC Documents (subject to the terms of the Intercreditor Agreement), to the extent any Borrower directly receives any remittances upon Receivables, such Borrower will, at such Borrower’s sole cost and expense, but on Agent’s behalf and for Agent’s account, collect as Agent’s property and in trust for Agent all amounts received on Receivables, and shall not commingle such collections with any Borrower’s funds or use the same except to pay Obligations.

  • Except as provided in the PNC Documents (subject to the terms of the Intercreditor Agreement), Borrowers shall cause remittances in respect of their Receivables to be delivered to such lockbox account or Blocked Account as Agent shall designate from time to time as contemplated by Section 4.15(h) or as otherwise agreed to from time to time by Agent.

PNC Documents means (i) the Promissory Note dated May 21, 1999, issued by CEPI to PNC, (ii) the Open-End Mortgage dated as of February 21, 1999, between CEPI and PNC, (iii) the Guaranty and 9 Suretyship Agreement dated as of February 21, 1999 between the Company and PNC, (iv) the PNC Shareholder Guaranty and (v) the other documents (if any) executed and delivered in connection therewith or otherwise referred to therein, in each case as amended, amended and restated, supplemented or otherwise modified from time to time.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Securities Documents means all reports, offering circulars, proxy statements, registration statements and all similar documents filed, or required to be filed, pursuant to the Securities Laws.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Acquisition Documents means the Acquisition Agreement, all other agreements to be entered into between the Target or its Affiliates and Holdings or its Affiliates in connection with the Acquisition and all schedules, exhibits and annexes to each of the foregoing and all side letters, instruments and agreements affecting the terms of the foregoing or entered into in connection therewith.

  • LOC Documents means, with respect to any Letter of Credit, such Letter of Credit, any amendments thereto, any documents delivered in connection therewith, any application therefor, and any agreements, instruments, guarantees or other documents (whether general in application or applicable only to such Letter of Credit) governing or providing for (i) the rights and obligations of the parties concerned or at risk or (ii) any collateral security for such obligations.

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.
