PMUSA and PMPI, on the one hand, and SWM on the other, each shall nominate in the Request for Arbitration and the Answer thereto, respectively, one arbitrator for confirmation by the ICC Court of Arbitration.
This Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective successors and assigns, provided that SWM shall not assign this Agreement or any part of its interest herein except with the prior written consent of PMUSA and PMPI.

Except as provided in Article 8, nothing contained herein shall be construed to create a partnership, joint venture or agency relationship between PMUSA and PMPI, on the one hand, and SWM, on the other, and no Party shall become bound by any representation, act or omission of any other.
PMUSA or PMPI, as the case may be, shall reimburse SWM for reasonable costs incurred in providing such requested assistance.
