Notwithstanding anything to the contrary in the Agreement, this Fifth Amendment constitutes a Completion Certificate for the PMTS and that Successful Completion has been achieved for all purposes.

Allseas must provide all management, supervision and personnel necessary for delivering and commissioning the PMTS.
Hyseq and ACY shall establish "Project Management Teams" (the "PMTS") to act on behalf of the two companies, and to manage the Collaboration as directed by the JSC.
