PMI Affiliates definition
PMI Affiliates means PMI and those entities, whether presently existing or as may be created in the future, that are or become owned by PMI or that PMI now or in the future controls, directly or indirectly, individually or jointly, through the power to vote more than [*****] percent of the voting stock or voting rights of such entities. An entity that is today or that may become in the future a PMI Affiliate shall cease to be a PMI Affiliate when it ceases to be owned or controlled by PMI.

Following the Closing, each of the Principal Investors agrees to cooperate with each other and the Company to support reasonable expansion of such strategic arrangements between the Company and/or its subsidiaries and such PMI Affiliates, in each case, subject to the consent of each of the Principal Investors other than PMI, such consent not to be unreasonably withheld.
On entering into this release, PMI, DPI and the other PMI Affiliates are not relying upon any representation or warranty of SanDisk or its agents or representatives other than as set forth in this Agreement or the Stock Transfer Agreement.
