Pledged Certificate means a certificate substantially in the form of Exhibit C to the Pooling and Servicing Agreement authenticated by the Trustee, issued in the name of the Buyer and pledged and delivered to the Buyer hereunder, representing a 100% interest in a Pledged Series Pool of Eligible Mortgage Loans held by Trustee for the benefit of the Buyer, as to which the representations and warranties in Section 10 and Part II of Exhibit II hereof are correct in all material respects.
