Platform Source Code definition

Platform Source Code means, with respect to the Company Platforms, all (a) portions of Software code in human readable form (including related programmer comments and annotations, help text, flow charts, diagrams, database specifications and designs, data structures and instructions); and (b) proprietary information or algorithms contained, embedded or implemented, in any manner, therein.
Platform Source Code means the source code for the Platform as in existence as of the Effective Date and as modified, upgraded, or enhanced after the Effective Date.

Examples of Platform Source Code in a sentence

  • No Open Source Materials are or have been incorporated or embedded in, linked to, or combined or distributed with, any Company Platforms in a manner that has, or would reasonably be expected to, (i) require the disclosure or distribution of or access to any Platform Source Code; or (ii) restrict the Company or any Company Subsidiary’s ability to charge for access to or use of the Company Platforms.

  • No event has occurred, and, to the Knowledge of Seller, no circumstance or condition exists, that (with or without notice or lapse of time, or both) would reasonably be expected to, require the disclosure or delivery by the Companies or any other Person acting on behalf of the Companies, of any Platform Source Code to any Person.

  • In the event that Company can no longer service the Platform, Company will maintain a copy of the Platform Source Code in an escrow account and assign an escrow agent to continue providing hosting service to Customer (the “Source Code Escrow Service”).

Related to Platform Source Code

  • Open Source Code means any software code that is distributed as “free software” or “open source software” or is otherwise distributed publicly in source code form under terms that permit modification and redistribution of such software. Open Source Code includes software code that is licensed under the GNU General Public License, GNU Lesser General Public License, Mozilla License, Common Public License, Apache License, BSD License, Artistic License, or Sun Community Source License.

  • Source Code for a work means the preferred form of the work for making modifications to it. “Object code” means any non-source form of a work.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Company Source Code means the source code for any Software included in the Customer Offerings or Internal Systems or other confidential information constituting, embodied in or pertaining to such Software.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.
