PL Agent. The representative (the “PL Agent”), as representative acting on behalf of the creditors of the PL Debt.

To the extent any PL Debt is then in effect, (i) the PL Agent shall enter into a joinder agreement to the Intercreditor Agreement as an agent in respect of such additional PL Debt and shall at all times be subject to the Intercreditor Agreement as an agent in respect of such PL Debt in accordance with the terms of the Intercreditor Agreement and (ii) the terms of the Intercreditor Agreement shall prevail in the event of a conflict between the Intercreditor Agreement and such PL Debt.
