The terms of this Agreement shall be agreed between the Company and the Representative Body of the Broker, the Professional Insurance Brokers Association Ltd (P.I.B.A.) or any successor to that organisation.
Orphan Medical shall reduce transfer pricing on an annual basis for any decreases in the costs referenced in the preceding sentence and for any other reductions in the components of Orphan Medical’s standard manufacturing costs as listed on Appendix G (including any reductions that may result from decreases in the required fill volume resulting from improvements in the PIBA).

In the event of any disagreement as to whether there has been an actionable breach by either the Solicitor or Counsel, or as to the amount payable under sub paragraph (1) or (2) hereof, that disagreement shall be referred to adjudication by a panel consisting of a Barrister nominated by PIBA and a Solicitor nominated by APIL who shall be requested to resolve the issue on written representations and on the basis of a procedure laid down by agreement between PIBA and APIL.
If the worker overstays in Israel illegally, a portion of the accumulated sum will be deducted by PIBA for each month of illegal unjustified overstay, and after 6 months of such overstay, the worker will forfeit the entire sum.
The worker will receive the accumulated sums deposited in the fund as above, from PIBA, less legal deductions, after leaving Israel permanently, or at the airport at the time of his permanent departure from Israel, as per an application filed to PIBA in a timely manner.
Nonetheless, if the employee does not exit Israel at the end of his legal stay in the country, up to 20% of the sum will be deducted by PIBA for each month of illegal overstay in Israel by the employee, and after 6 months of illegal overstay the employee will forfeit the entire sum.

This Agreement forms the basis on which instructions are accepted by counsel from the solicitor to act under a conditional fee agreement and incorporates PIBA’s standard terms which is available on the APIL PIBA websites and is incorporated in, but not annexed to this agreement.
