PI Unit definition

PI Unit means a Partnership Unit which is designated as a PI Unit and which has the rights, preferences and other privileges designated in Section 4.6 hereof and elsewhere in this Agreement in respect of Holders of PI Units. The allocation of PI Units among the Partners shall be set forth on Exhibit A, as may be amended from time to time.
PI Unit means a PI Unit (as defined in the Operating Agreement) of the Company.
PI Unit means a non-voting (except as otherwise expressly provided in this Agreement) unit of membership interest in the Company owned by an Eligible Incentive Member, including all preferences, rights, liabilities and obligations with respect to such interest as are set forth in this Agreement or the Act. Any PI Units issued by the Company to one or more Eligible Incentive Member(s) shall be considered “profits interests” within the meaning of IRS Revenue Procedures 93-27 and 2001-43.

Examples of PI Unit in a sentence

  • The SIU Manager shall report to the Compliance Officer and meet with the OMPP Program Integrity (OMPP PI) Unit at a minimum of quarterly or more frequently as directed by the OMPP PI Unit.

  • It is the responsibility of the SIU Manager to coordinate the timeliness, accuracy and completeness of all suspected or confirmed instances of waste, fraud and abuse referrals to the OMPP PI Unit.

  • The SIU Manager shall be required to interview with the OMPP PI Unit prior to obtaining FSSA approval.

  • As noted above, the OMPP PI Unit should also receive disenrollment notices when they are program integrity related.

  • The SIU Manager shall be required to interview with the OMPP PI Unit prior to obtaining FSSA approval Quality Improvement Management Manager – The Contractor shall employ a Quality Management Manager who is dedicated full-time to the Contractor’s Indiana Medicaid product lines.

  • If a PI Unitholder fails to make such an election, such holder (and any of its transferees) shall receive upon conversion of each PI Unit held him or her (or by any of his or her transferees) the same kind and amount of consideration that a holder of a OP Unit would receive if such OP Unit holder failed to make such an election.

  • Said Unit means the said Flat, the said Vehicle Parking Space, (if any), and the right of common use of the Common Portions and wherever the context so intends or permits, shall also include the Said Undivided Share.

  • sub-unit means, with respect to any currency other than euro, the lowest amount of such currency that is available as legal tender in the country of such currency and, with respect to euro, means one cent.

  • FTPS Unit means Units which are purchased through the Fund/SERV(R) trading system or on a manual basis through FTP Services LLC or for which FTP Services LLC is acting as FTPS Unit Servicing Agent.
