PHH Agreements means the Operating Lease (Lease No. 122), dated June 25, 1998, between PHH-CFC Leasing, Inc., ▇▇▇▇ ▇▇▇ and certain other parties identified therein, and the Management Agreement, dated June 30, 1991, between PHH-CFC Leasing, Inc. and PHH Fleet America Corporation. “Privileged Information” shall have the meaning set forth in Section 5.4(a) of this Agreement. “Privileges” shall have the meaning set forth in Section 5.4(a) of this Agreement. “Pro Forma Cash Amount” shall have the meaning set forth in Section 4.2(a)(viii) of this Agreement. “Real Estate Matters Agreement” has the meaning set forth in Section 2.1(d) of this Agreement. From and after the Separation Date, the Real Estate Matters Agreement shall refer to the agreement executed and delivered pursuant to such section, as amended and/or modified from time to time in accordance with its terms. “Record Date” means the close of business on the date to be determined by ▇▇▇▇ ▇▇▇’▇ Board of Directors in its sole and absolute discretion as the record date for determining stockholders of ▇▇▇▇ ▇▇▇ entitled to receive shares of HBI Common Stock in the Distribution. “Record Holders” mean the holders of record of ▇▇▇▇ ▇▇▇ Common Stock as of the close of business on the Record Date. “Registration Statement” shall have the meaning set forth in the preamble of this Agreement. “Reserve Amount” shall have the meaning set forth in Section 4.5(b)(i) of this Agreement. 43

Examples of PHH Agreements in a sentence

  • Prior to the Separation Date, HBI shall purchase all of the motor vehicle pool vehicles, trucks, forklifts and computer, telephone and other equipment leased by HBI and its Subsidiaries through the PHH Agreements and used in the Branded Apparel Business and that are part of the HBI Assets.
