The Phase 3 Project consists of the renovation and expansion of the historic Ice House building located at 165 S.
Notwithstanding the foregoing, in addition to other cancellation provisions under this Agreement, this Agreement may be cancelled by Developer prior to Commencement of Construction on the Phase 3 Project if Developer is unable to obtain financing and equity sufficient to make the Developer Improvement Contribution.
The Agreement shall run in favor of the City, without regard to whether the City has been, remains or is an owner of any land or interest therein in the Phase 3 Project or the District.

It shall be the ultimate responsibility of Developer to secure all local licenses and permits required to be obtained by Developer or City with respect to construction, completion and occupancy of the Phase 3 Project and Rock Island Corridor Improvements, including any necessary building, occupancy, sewer and utility permits, except that the City shall be required to obtain all permits required from the Kansas Department of Health and Environment.
The purpose of this project is to perform additional work, following NIFI Phase 3 Project to provide functionality within the NEDSS system to help make the staff more self-sufficient and require less support from third-party vendors.
Drawdown Notices in respect of Capital Commitments to fund the construction of the Phase 3 Project shall be sent exclusively to the Limited Partners holding Class D Units issued in exchange for Capital Commitments issued pursuant to Contribution Agreements in accordance with Section 4.3(a)(iii)(A), in each case, to the extent of the Unfunded Commitments of such Limited Partners.
