Celltech agrees to use such Pharmacia Know-How solely for the purposes of manufacturing Collaboration Products.
The term of the Nastech Licenses shall be for the life of the last-to-expire of the Pharmacia Patents and perpetual with respect to the Pharmacia Know-How.
Any Pharmacia Know-How transferred pursuant to this Section 12.7(e) shall, for the avoidance of doubt, remain part of Pharmacia’s Confidential Information and, notwithstanding the provisions of Section 11.1, Celltech’s obligations pursuant to Section 11.1 with respect to such Pharmacia Know-How shall survive termination of this Agreement indefinitely.
Commencing on the Termination Date and continuing thereafter, Axys shall have, and P&U hereby grants to Axys, the sole and exclusive right and license, with full rights to sublicense, to use and practice all Research Technology, Joint Patents, Pharmacia Patents and Pharmacia Know-How to develop, make, have made, use, import, sell and offer for sale Collaboration Products, and after the Termination Date P&U shall have no further rights thereto except as provided below.
Notwithstanding the licenses granted to Nastech under Section 5.1, it is understood that Pharmacia shall have no obligation to disclose to Nastech or its Affiliates or licensees any Pharmacia Know-How except to the extent expressly required by the provisions of Sections 7.1 or 7.3, and Nastech shall have no right to obtain any Pharmacia Know-How other than that which is expressly required to be disclosed by the provisions of Sections 7.1 or 7.3.
Nastech agrees to use such Pharmacia Know-How solely for the purposes of manufacturing the specific Collaboration Product then being Commercialized or in clinical Development.
Pharmacia undertakes to Celltech that (save as provided in Section 2.4) it shall not, and shall procure that its Affiliates shall not, use, or authorize any other person to use, any of the Pharmacia Patents, Pharmacia Know-How or Joint Technology to develop, make, have made, use, offer for sale, sell, have sold, import or export Licensed Products for use in the Field except pursuant to this Agreement (the “Pharmacia Exclusivity Undertaking”).
Any Pharmacia Know-How transferred pursuant to this Section 12.7(b)(v) shall, for the avoidance of doubt, remain part of Pharmacia’s Confidential Information.
