PG Assets definition
PG Assets means (a) the PG Sites to the extent such Property, plant, and equipment constitute assets of the Company or its consolidated Subsidiaries, (b) any Indebtedness owed to the Company or its consolidated Subsidiaries and secured by any PG Site, and (c) any Indebtedness owed to the Company or its consolidated Subsidiaries by the owner or operator, other than an owner or operator who is an Affiliate of the Company, of any PG Site as a result of operating advances made by the Company or any of its consolidated Subsidiaries to such owner or operator in connection with the operation or maintenance of such PG Site.
Examples of PG Assets in a sentence
Notwithstanding anything in Section 1.2(a) or the description of the Xceed Held PG Assets to the contrary, the following assets, properties, rights, and businesses are expressly excluded from the Xceed Asset Transfer under this Agreement and the Assignment Agreement and are expressly excluded from the Xceed Held PG Assets (the "XCEED RETAINED ASSETS"): (i) all rights and claims of Xceed under the Journey Corp.
