Permitted Venture definition

Permitted Venture means any Person that owns, operates or develops a Hospitality-Related Business pursuant to Franchise Arrangements.
Permitted Venture means any entity (i) in which the Company or any Restricted Subsidiary owns Capital Stock, (ii) which is not a Restricted Subsidiary and in which no other Affiliate of the Company (other than a Restricted Subsidiary) has an Investment and (iii) which operates in the business of the Company or its Restricted Subsidiaries existing on the date of this Indenture or in businesses reasonably related thereto.
Permitted Venture means Investments, solely in the form of cash, cash equivalents or the issuance of common stock of Axogen, by a Credit Party in a joint venture, partnership, or other Person by so long as, in each case, (a) there exists no Event of Default both immediately before and immediately after giving effect to such transaction, (b) the total amount paid or payable, in either cash or equity or both, by Credit Parties for all such Permitted Ventures in any twelve (12) month period does not exceed $1,000,000, (c) the Borrower Representative shall have delivered to Agent at least ten (10) Business Days’ prior written notice of the closing such transaction,
