permitted underletting is an underletting of the whole of the Property to an Acceptable Tenant which effectively prohibits any further dealing with the Property or any part thereof howsoever remote or inferior except by a Permitted Assignment or by a Permitted Charge but then not without the prior written consent of the Lessors (provided that such consent is not to be unreasonably withheld) and provided that the Lessors may withhold consent to an assignment while the proposed assignee is not an Acceptable Tenant and that any such consent may be subject to a condition that the proposed assignee will be an Acceptable
