Permitted Secured Facility definition
Permitted Secured Facility means (a) the Secured Facility or (b) any other Indebtedness incurred by the Borrower or its Subsidiaries that is (i) permitted under Section 6.2.3 of this Agreement, (ii) secured solely by Permitted Secured Facility Collateral and (iii) guaranteed only by the Secured Facility Guarantors, as amended, restated, supplemented or otherwise modified from time to time (but always subject to the limitations in clause (b)).
Permitted Secured Facility means (a) subject to entry into the Intercreditor Agreement, the secured credit facility provided under the Oaktree Credit Agreement, including the funding of any commitments to extend credit thereunder after the Closing Date that are in existence on the Closing Date and (b) subject to entry into an Other Intercreditor Agreement, other secured Indebtedness.
Examples of Permitted Secured Facility in a sentence
The Investor may assign any of its obligations/ and rights hereunder to any other Person (other than a Prohibited Assignee) without the consent of the Company provided that such Investor shall cause such Person to become a party to the Intercreditor Agreement in accordance with the terms thereof or enter into an intercreditor agreement with the administrative agent, trustee or representative under any Permitted Secured Facility in form and substance substantially the same as the Intercreditor Agreement.
