Performance Increment definition

Performance Increment means, with respect to Manager Shares issued by an Offshore Fund to an Offshore Related Partnership with respect to each applicable period, the Performance Increment or similar performance fee or profit allocation (as defined in the organizational documents of such Offshore Fund) that has been definitively calculated and booked by such Offshore Fund during such period (after giving effect to the reduction for the Selling Commission (as defined in the organizational documents of such Offshore Fund) or similar solicitation or brokerage fees and after giving effect to any reduction for any Performance Fee).
Performance Increment is the Total Shareholder Return with respect to the Company's Common Stock minus the Total Shareholder Return of the median company in the Dow Jone▇ ▇▇ Electrical Utilities Index-All Regions (ELC) as in effect at the end of the Performance Period.
