It is the intention of the Company that, with respect to Awards designated as Performance Based Options, each of the members of the Compensation Committee shall also be "outside directors" within the meaning of Section 162(m) of the Code.
OPTIONS means all Non-Qualified Stock Options, Incentive Stock Options and Performance Based Options granted at any time under the Plan.
AWARD means any one or combination of Non-Qualified Stock Options, Performance Based Options, Incentive Stock Options, Stock Appreciation Rights, Restricted Share Rights or any other award made under the terms of the Plan.
The Options granted hereunder shall be allocated between Time Based Options, as defined below, and Performance Based Options, as defined below.
Each group of Performance Based Options shall vest or be void in total on a group basis and there shall be no prorata vesting of Options within a group.

If Performance Goals are achieved prior to the four (4) year anniversary of the date of the grant of such Performance Based Options, the remaining unvested shares of Performance Based Options associated with achievement of such Performance Goals shall continue to vest on a pro rata monthly basis over the remainder of such four (4) year period subject to your continued service with the Company through the applicable vesting dates.
Should Executive terminate Executive’s employment without Good Reason and without providing Transition Notice, the Company shall be relieved of its obligations to Executive under this Agreement, other than to pay Executive any salary earned to date and any unvested Options (whether Time Based Options or Performance Based Options) shall terminate and be of no further force and effect.
